Item 5.03. Amendments to Articles of Incorporation or Bylaws; Changes in Fiscal Year.

On February 2, 2009, the Board of Directors (the "Board") of Vail Resorts, Inc.
(the "Company") approved the Amended and Restated Bylaws ("Amended Bylaws")
attached as Exhibit 3.1 to this current report. The Amended Bylaws update certain existing references to officer and director positions to conform to current positions used, or potentially to be used, by the Company.
