Appointment of Certain Officers; Compensatory Arrangements of Certain Officers
(d) On Friday, February 6, 2009, the Board of Directors (the "Board") of
Assurant, Inc. (the "Company") elected Elaine D. Rosen to the Board. Ms. Rosen's
appointment will be effective as of March 1, 2009. Ms. Rosen will serve as a
Class III director and will be a member of the Nominating and Corporate
Governance Committee. There are no arrangements or understandings between Ms.
Rosen and any other person pursuant to which Ms. Rosen was elected as a
director.
In connection with Ms. Rosen's election, the Company issued a press release on
February 10, 2009. The text of the press release, which is attached hereto as
Exhibit 99.1, is incorporated by reference herein.
