Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
(b) On February 23, 2009, Joel G. Edwards resigned as Chief Financial Officer
and Treasurer of Rainier Pacific Financial Group, Inc. ("Company"), and as Chief
Financial Officer, Treasurer and Secretary of its subsidiary, Rainier Pacific
Bank ("Bank"). Mr. Edwards' resignation from these positions is effective as of
the close of business on February 27, 2009.
(c) John A. Hall, the President and Chief Executive Officer of the Company and
the Bank has been appointed, on an interim basis, to fill the vacancies created
by Mr. Edwards' resignation and the Federal Deposit Insurance Corporation has
been notified of this appointment.
