Item 8.01 Other Events.

On March 6, 2009 UDR, Inc. issued a press release announcing that it had commenced a cash tender offer to purchase any and all of its $181,710,000 principal amount of 6.50% Notes due 2009. A copy of the press release is included as Exhibit 99.1 to this Current Report on Form 8-K and incorporated by reference herein.
