Item 2.02 Results of Operations and Financial Condition

On March 24, 2009, Sauer-Danfoss Inc. issued a press release announcing its final financial results for the fourth quarter and full year ended December 31, 2008. These final results update and supersede the Company's preliminary results released March 16, 2009. A copy of this press release is attached hereto as Exhibit 99.1.
