Amendment to 1998 Equity Incentive Plan (Amended and Restated)
   On April 22, 2009, the Board of Directors (the "Board") of Actuate
Corporation ("Actuate") amended, effective January 2, 2010, Actuate's 1998
Equity Incentive Plan (amended and restated) (the "1998 Plan") to eliminate
Section 3.2 of the 1998 Plan (the "1998 Plan Amendment") pursuant to
Section 17.2 of the 1998 Plan. The 1998 Plan Amendment is filed as Exhibit 10.1
to this Current Report on Form 8-K and is hereby incorporated by reference
herein.
