(d) On May 26, 2009 the Board of Directors of Broadcom Corporation (the "Board"), acting pursuant to the authority granted to it by Broadcom's Bylaws, increased the size of the Board from seven to eight directors. Effective as of May 28, 2009 Joan L. Amble was appointed to fill the vacancy created by such increase. The Board also appointed Ms. Amble to the Board's Audit Committee.

Broadcom issued a related press release announcing the appointment of Ms. Amble to the Board May 29, 2009. The full text of the press release is attached as Exhibit 99.1 to this report and is hereby incorporated by reference herein.
