ITEM 5.02. Departure of Directors or Certain Officers; Election
of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On June 24, 2009, CIGNA Corporation (the "Company") issued a press release announcing that: (1) H. Edward Hanway, the Company's Chairman and Chief Executive Officer, plans to retire from the Company and the Company's Board of Directors (the "Board"), effective December 31, 2009; and (2) the Board has appointed David M. Cordani, currently the Company's President and Chief Operating Officer, to succeed Mr. Hanway as Chief Executive Officer, effective January 1, 2010. Mr. Cordani will continue to serve as President of the Company.

All of the events described above occurred at a meeting held on June 18, 2009.

A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated by reference.

ITEM 8.01 Other Events.

In addition to the foregoing, the press release announced that: (1) after consideration by the Corporate Governance Committee of the Board's leadership structure, the Board has determined that the positions of Chairman and Chief Executive Officer of the Company will be separated as of January 1, 2010; and
(2) Isaiah Harris, Jr., one of the Company's current independent directors, has been elected by the independent directors of the Company to serve as non-executive Chairman of the Board, effective January 1, 2010 and to serve as non-executive Vice Chairman of the Board starting July 1, 2009 until he assumes the role of Chairman.
