Item 5.03. Amendments to Articles of Incorporation or Bylaws; Change in Fiscal
Year
On July 31, 2009, Symantec Corporation (the "Company") filed a certificate of
amendment (the "Certificate of Amendment") of its certificate of incorporation
to amend Article 2 thereof to change the Company's registered agent and the
location of the Company's registered office. The amended Article 2 reads in its
entirety as follows.
"The address of the registered office of the corporation in the State of
Delaware is 2711 Centerville Road, Suite 400, City of Wilmington 19808, in the
County of New Castle. The name of its registered agent at such address is the
Corporation Service Company."
A complete copy of the Certificate of Amendment is expected to be filed as an
exhibit to the Company's Quarterly Report on Form 10-Q for the period ended
July 3, 2009.
