(b) On August 13, 2009, Minerals Technologies Inc. (the "Company")
issued a press release announcing that Kirk G. Forrest will leave
his position as General Counsel and Secretary, effective September
1, 2009, and will retire from the Company effective December 31,
2009.
A copy of the press release is attached hereto as Exhibit 99.1 and
is incorporated into this Item 5.02 by reference.
