Effective as of October 6, 2009, Robert Reseigh, a director of the Registrant was appointed as its interim CEO. Robert T. Faber remains as the Registrant's President and CFO.

The Registrant does not have any written or verbal compensatory arrangements with Mr. Reseigh at this time. Mr. Faber's employment contract was extended on the same terms through December 31, 2009.
